(the "Registrant") issued and/or sold 2,307,692 restricted shares of its common stock to Michepro Holding Ltd. at $0.13 per share for a total of $300,000 in reliance upon the exemptions provided in Section 4(2) of the Securities Act of 1933, as amended (the "Act") and Regulation S promulgated by the United States Securities and Exchange Commission (the "SEC") under the Act.
