The Third Affirmative Defense is a bit more interesting: finally someone asks why COR isn't suing DTCC.

The Second Amended Complaint fails to join parties required to be joined under F.R. Civ. P. Rule 19, to wit, the persons or entities who, together with COR caused the additional Calissio shares to be put into the market after the initial record date and/or who were the shareholders of Calissio who actually received, retained and benefitted from the allegedly improper credits, as well as DTCC, the entity which COR alleges issued the supposedly improper credits and charged COR.
