Because MYEC and MethheadEd are delinquent in the SEC filings, therefore Rule 144 exemptions to registration are not available to Maciora. He has restricted (legended) shares which cannot be sold into the market without MYEC either becoming current in their SEC filings and/or MYEC filing a registration statement for the shares.

So he's STUCK with restricted shares he can't sell into the market. Without MYEC being current with the SEC, he can't gett his shares delegended (unrestricted) and sell them into the market. He's STUCK with unmarketable, restricted shares.

Thanks to MethheadEd nott filing financials because it would provide evidence to throw him (MethheadEd) in prison.

Which is why MYEC will never file and become current with the SEC ever again - well, at least as long as MethheadEd is in CONtrol.

He'd be writing his own ticket to Federal prison.
