LOL There aren't any shell companies available on NASDAQ. If they were a shell, their pps would be below the listing limit for NASDAQ. Consequently, you either go the IPO route and end up giving up a large percentage of your company to investment bankers and brokers or buy a shell on the OTC. They obviously found the shell rout to be preferable. They can always uplist once they're public and have gotten the hang of all the reporting requirements.
As for the $6 million revenue projection from Paul, it was superseded by their later PR and the PR from Omni. Mike Hawkins is not obligated to tell everything he knows about Omni to Paul. Mike was the CEO of Omni at the time and is still their CFO. It makes no sense that they would repeat that number ($1.6 million net income) if it wasn't true. It would make more sense if the $6 million revenue number was a typo and should have read $60 million (or maybe Paul heard 6 instead of 60 when he called Mike for an estimate).
