(b) Pixel Capitalization. As at the date of this Agreement, there are issued and outstanding an aggregate of 1,000 shares of common stock, $0.001 par value per share, of the Company (the “Company Exchange Shares”). The Company Exchange Shares represents One Hundred (100%) Percent of the issued and outstanding shares of capital stock of Pixel.
