Then I learned about Jon Oringer & the extent to which he's involved in this deal,,, He's the founder & majority shareholder of Billion dollar Shutterstock. He has a genuine stake in our company through Pixel Holdings which owned & sold PixelMags to SPCL

If you look at the share Exchange it becomes very clear that SPCL will be run by Oringer's hand picked team.

Plus there will be the independent directors on board so as to meet the requirement of up listing.

I'll bet everything I own that Oringer owns more than 55% of SPCL shares through proxies if not straight up. Anyone here who proves that point & provides a link will cause the biggest run we've seen on the OTC.

The fact that Pixel Holdings is "managing his Shutterstock equity" is a play on words. Through his leverage ORINGER OWNS & CONTROLS PIXEL HOLDINGS. It's OWNED by his company Shutterstock! Jon Oringer OWNS Majority Interest 55% of Shutterstock.

Jon Oringer has a vested interest in this deal. He knows how to create a winner. This will be his second MUTI-BILLION DOLLAR company & he will make his second endeavor every bit as successful as his first.

Keep in mind. ShutterStock still has an Out Standing share count of only 35 million shares (ORINGER DOESN'T DO DILUTION NOR DOES HE HAVE A HISTORY OF SECONDARY STOCK OFFERINGS). Of that 35 million he owns most of them (55%) which leaves their Float at less than 19 some odd million shares of which over 76% are held by institutions. By the way,,, THAT'S YOUR BLUE PRINT!

PixelMags will only have 18.3 million Out Standing with Oringer controlling over half leaving less than 9 million in the float & you can best believe Institutions will aggressively acquire a majority of that float. Retail investors will have to fight over no more than 3 million shares of a company with a documented $48 million in revenues!

ShutterStock will be one of our best customers! We will be their exclusive distributor of digital content. Just one more reason why PixelMags CAN"T FAIL & will be a huge success!

Even if we were to UNDER PERFORM SPCL/PIXL will be trading at a minimum, I emphasize that, a MINIMUM of $50 to $60 a share & likely much more in about 3 years. I still maintain that unless there's a forward split we should be trading @ $120 to $150 a share by 2020!
