Most likely S1 is a typo. It should be S3. Tom Kim must register his holdings.

He will bring NGCG above a penny very soon. No reason for a reverse split.

Those are Forms 3, 4 and 5 - they have nothing to do with a S-3 registration statement.

Also Forms 3, 4 and 5 are for registered securities only - NGCG doesn't have registered securities.
