I believe to work towards audited financials you have to file s-1.

That isn't close to being accurate. Tom Kim doesn't have to register his stock.

NGCG is the a SEC filer they don't have any SEC filing obligations - they Deregistered their stock.

Before NGCG can file a registration statement they will need to have multiple years of audited financials.
