This does NOT explain why the note was NOT included in the 8K filed the same day,
where I believe, it SHOULD have been filed under
"Item 1.01: Entry into a Material Definitive Agreement
Item 3.02: Unregistered Sales of Equity Securities"

Once AGAIN, you are sidestepping a question that you do not want to answer...
IF you finally get around to addressing the issue
...months from now...
just like the "small honest mistake" in the 14A
WHICH I BROUGHT TO "YOUR ATTENTION" MONTHS AGO.
