I don't really considered it dilution until they are dumped into the float but technically yes it is. If they dumped into the float we screwed

They wanted a number above the 126 million share count to maintain majority control over the company. If he didn't issue shares above that number than one person could accumulate millions of shares and a hostile take over would occur.
