I forgot to mention that Kimmons is NO LONGER AN AFFILIATE or CONTROL PERSON in view of his relinquishment of the 1000 Preferred voting shares and he held and the fact that he owns less than 10% of ESCU's issued and outstanding shares.

He currently holds 1% of the ESCU shares.
