The PR says, Some insiders have stated they will sell a portion of their holdings under this offer but no insider has filed to sell their shares.

So why would HLS make an offer of $2.35 when they can buy shares on the open market for under $1? Is Downs inferring that the HLS people are just stupid?

The question, which still stands, is that the common shareholders currently cannot get a $2.35 share price, if the company of IDWD as a whole, does not enter into a signed agreement. Which is not likely, if the CEO, as stated in your own quotes, will not sell his majority ownership. In effect, he is stating that the HLS offer is hostile in intent, and that it will not succeed as they cannot gain his majority shares (again, unless he has dumped enough to go under 50%)

Feel free to enlighten me, but please drop the insults. I am not the one scamming the shareholders, delaying deals, and exhibiting poor management. I am sympathetic to the losses, and again, certainly would have no problems with being wrong. I would not mind seeing the 2 lines in my eTrade account be more than screen filler, and I do not believe I have treated you poorly.
