What are "reorg fees" that the client pays the broker?

This is new to me, can you explain what the reorg fee is and how it is that the client pays it?

I have never received a fraudulent divy, so it is possible.

But I have been with TDA approx 10 years, and the only time I was hit with a reorg fee, was an all-cash buyout of a restaurant stock.
