ss9173, excellent recap of the meeting today! Very detailed; I will be going over my notes tomorrow and making any comments to add (and I hope all attendees will do so and add your thoughts, comments, fill in anything you see that hasn't been posted yet, etc)

My impressions of management, by meeting them for the first time and seeing their capabilities, passion, and sincerity behind what you hear about about them was invaluable. I, too, STRONGLY urge shareholders to attend the next shareholders' meeting if at all possible. You'll be glad you did. This impression is also made by all of the executives and personnel of the business units as well.

On a personal note; it was a huge pleasure to meet everyone from iHub, including our lurkers! What a great group of people! That was a real treat. We're all looking forward to our next gathering that will hopefully include even more shareholders..I took a rough count of 23 posters/lurkers, and their families. (Lurkers, it would be great if you posted your thoughts and comments too)

A question ss9173:
If you exepct revenue growth in Q2, Q3 and a launch Qode by the end of the year; wouldn't that translate into share appreciation? Why don't you expect the above to help the share price in the next 6 months?
And this won't help our share price?: "I believe we will see a lot of interesting and positive developments during the 2nd half of 2006."

British digital identity company, WeeWorld just closed on a $15.5 million second round of funding from Accel and Benchmark. CEO Celia Francis said the London-based firm will use the funds to expand its presence in the U.S., support further advertising and sponsorship deals, and achieve what she jokingly refers to as "WeeWorld domination." 9 million users have already created "WeeMees" - digital avatars that represent a person's identity online and on mobile devices.

As part of their expansion plans, they have hired local product and marketing whiz Lauren Bigelow as General Manager for North America. So look for the Wee little Boston-area office to start ramping up soon. Full disclosure: I've known and worked with Lauren Bigelow for the last 15-odd years. She's one of the best.

Was looking for more substance from management (dont shoot me people) but it still sounds like an anthony robbins "look what potential we have".

I would like to see strategic step by step planning. Revenues projections (not.."IF we do 0.1% of X .. we just may be rich" type of projections).

Sorry if my views dont equate with everyones euphoric SHM vibes ... so many questions not answred.

Anyway, fuutre looks good imo, and Im holding. Wont be buying more though. May get more bargains later.

ss, a great and accurate review!! A couple of points to add. MicroPaint staff are very enthusiatic and look for sales to boom a thousand times current sales.
An additional point is that a second former Dupont employee has come over to NEOM and in the process gave up some of his prior benefits. There are rumours that a third Dupont employee is on the way to NEOM. Well, I connected the dots and it tells me that the MicroPaint and associated products have a bright future!

I think it was Jensen that said institutions are holding off purchases waiting to try and pick it up cheaper. I think he also said something about an analyst being hired to project numbers, but maybe someelse could confirm this or correct what I just said.

Thanks SS9173 for that comprehensive summary of the goings-on yesterday.

I'm glad to see that 28% of the votes were not cast in favor of the increase. That sends a very important mesage about dilution concerns.

I'm also glad that CF canceled further sales under his 10b5-1 plan after realizing that news of those sales was generating significant discontent among a number of shareholders.

Not to throw cold water on the era of good feelings that I was pretty certain would prevail after the meeting, but I think remaining hard-headed about certain important issues is necessary to ensure that those issues will be addressed sooner rather than later. In particular, as you noted, executive comp (esp. the issuance of stock options) is still an issue.

And I found the answer about moving to the NASDAQ or AMEX a bit evasive. They will seek a move "as soon as they qualify for it" is far less specific than what I had hoped for. I would like to know what non-PPS related steps NEOM is planning to take to prepare for such a move. Here I am specifically referring to the corporate governance reforms/requirements that also must be met before NEOM can make such a move.

Hi all,

Got in at 2:00am last night. Flights got delayed. I just have time to say what a great group of Ihub members we have here. Everyone I met was friendly, intelligent, engaging and just a pleasure to hang out with. This was my first SHM and it was well worth the effort.
ss's notes and commentary are exceptional and a very accurate recap of the meeting. I do have my own comments that I will post when I have time (I have an 11:30 tee time to make ;-)) hopefully latter 2nite. Everyone that couldn't make it has the ppt presentations that have been posted but what you miss is the intangibles like the energy and excitement and the other non-verbal cues and clues that abound. The high light was being seated for lunch after the meeting and having Chas ask to sit down at our table and proceed to talk for 20 min. This was amazing and as I said I will comment on this latter. I have to go and straighten out my slice ;-).

Additional comments on the SHM

In going over my notes during the presentations, and my impressions and observations from the rest of our time with NeoMedia, I want to reiterate my comment from last night - ss9173's post is very complete and IMO also reflects my impressions as well. Thanks again ss9173, I know it takes amount of time to write up a summary. I look forward to all attendee's commentary when they can; please post any comments, short or long, etc. I'm not going to try to duplicate a complete summary as ss9173's post is very thorough, but rather make some additional comments that flow along w/ ss9173's post.

Edited to add: ---------->>> Note to other attendees: Feel free to claify anything in my post that I may have missed in my notes or have written something from memory that you have different notes on. This is just my first quick draft as I wanted to get it posted asap.

Management was very available and accessible, both before the meeting (during the presentations by the business units) as well as after the meeting, and during lunch, mingling with the shareholders and introducing themselves. There was plenty of time to talk and ask questions and make comments, and they were genuinely glad to have the opportunity to meet the shareholders and talk with them. As ss pointed out, Chas sat with one large table of shareholders, and talked about qode and it's progression since he first had the vision for it in 1995. It was greatly appreciated by those who heard it. This is but one sample of the interaction between management and shareholders.

Regarding the presentations; they were very informative, well-presented, with supporting PowerPoints that emphasize the basic points from the presentations. As with all presentations, the PowerPoints don't contain ALL of the points made. (For anyone that feels there isn't anything "new" in the PowerPoints; I will just say - look again and spend more time on them! There are definite insights there..remember, connect the dots...in fact, some slides contain totally new info and timetables spelled out)

As ss covered, Chuck's presentation discussed the upcoming Worldwide Launch of qode, in addition to covering the technology underlying qode, as well as the structure of the Mobile Marketing Ecosystem (via SMS and versus qode). This will be a Consumer Launch - before, it was focused on enterprise only - ie, getting qode into the hands of business. Check out slide 18 of 36 in the Company Overview presentation - Media companies, brands, and carriers/manufacturers. I expect the launch to be in 3Q, no later than early 4Q IMO (note on the slide with the qode timetable of adding Java 2.0 is 3Q as well as adding Palm/Microsoft, Java 1 and lastly BREW in the 4Q. (slide 33)

Note slide 21, the Technology below this User Experience NOW (The mobile marketing ecosystem, for the SMS user experience.) Note the Application Provider tab(which lists, 12snap, Sponge, HipCricket, Mindmatics, and Enpocket....(yes dlethe01:, I view this as potential acquisitions also - the last 2). Now note the Network Aggregators (this list includes mQube). The qode User Experience is detained on slide 23 - see on slide 24; NeoM becomes the "Application Provider" and qode REPLACES the "Network Aggregators". Verisign recently paid $250 million for mQube.

Slide 30 goes over the advantages of an indirect system, versus a direct system. Good slide to review. Qode is an indirect system; can also act as a direct system (ie QR codes) Ask yourself - which system would be better for brands, direct or indirect? (ie a static barcode who's link can NEVER be updated or modified, as w/ a direct system? NO)

Slide 31 - details the players in enabling technologies - good to read.

Qode WILL be available via download to consumers in the geography of the first major campaign launch.

Pay close attention to China. See slide 36 - they have 398 MILLION cell phone subscribers as of end of 2005; expected to exceed 500 MILLION (can another attendee reply with the timeframe on this grwoth, I didn't not make a note of it.)

From Chas' Vision presentation, ss9173's comments are quite detailed here too. NeoM has invested $40 million in qode, now on Version 4, Flexible, scaable, robust. Goal is to be THE Bridge; give Dial Tone to the physical world to electronic world connection, and make money doing it. Apt analogy as SS commented; "first things first" in building is key and was well presented.

How big is the opportunity. Chas reviewed the number of barcodes in the world, and used estimate of $500 to activate a barcode per year. This did not include RFID, smartcodes, anything other than just barcodes. So the numbers grow significantly from there.

Also, note the change to Linking the physical world to the ELECTRONIC World. This is more inclusive, and IMO and other shareholders, reflects mCommerce inclusion. See the slides on how big the opportunity is.

Martin Copus went over NeoMedia Mobile, and introduced us to Qode, with the PR announcing it publicly simultaneously. (when we exited the Presentation portion of the meeting for a 15 minute break before the shareholders meeting, the Qode logo was prominently displayed on a large display outside the meeting room. Nice touch.)

NeoMedia aims to BE the leader in One Click to Content(TM) Mobile Connectivity.

Possible applications include (see the slide) Information; Advertising & Promotion, mCommerce.

Current status: finalizing platform upgrade; universal rader, handset software, and carriers.

Comment about 12snap stated their Dusseldorf office is located AT Vodafone.

The Mobot campaign for Starbucks will be in the U.S. and Canda, and will start July 10th.

Gavitec testing for McDonald's; McD does not want the particulars revealed.
Examples of many of the business unit past campaigns were detailed.

Sponge (may be expanding into the U.S.) had a very successful campaign as we know, in Walkers - over 700 million packages of Walkers products were sold with the campaign on them.. A significant number of the U.K. population actively particulated in this campaign. (Walkers, owned by Frito Lay, does not want the % publicized.)

NMPR. No longer "just" Micro Repair - have significantly expanded the product offerings. They have increased the percentage of the types of repairs they can do from 20% (micro) to 70%. (Note I am not referring to market share.) Look for a name change to reflect this expansion beyond "Micro".

The services they offer EXTEND the life of the car. Used car dealers are very attracted to their offerings. For ex, they can do $200 in repairs to improve the appearance of the vehicle, and increase the selling price by $1000.

DuPont has sent people to NMPR for training. As we know, Pau G. came from DuPont (He is very impressive, as well as Stan Hill, Chris Reding, Sean and Kelly Hill; everyone there.)

Don't discount NMPR's present and future contributions to the bottom line. IMO management clarified they do NOT have any short term nor other plans to spin off NMPR for good reason. People have wondered why did NEOM buy this company? The question has never been considered from the flip side - why did CSI management choose to go with NEOM than perhaps a large chemical company?

Next, Guy Fietz of NeoMedia Telecom (Triton). They have achieved impressive growth and have the highest revenues per employee at $1 MILLION per employee. They are adding to their offerings building the network for content providers using a revenue share program (for example Lavalife). Vox-Tel is another large customer. It is expected that these new customers will evolve and become NeoMedia mobile custeroms as well. Triton will provide the transaction step of this. (See their slides)

2005 revenue was $8 million, expected revenue in 2006 of $11 - 12 million.

The ONLY isocyinate-free mobile small repair system on the market.

I'd like to clarify one thing on the slides; there is a misunderstanding by some of the list of 8 shareholder questions included in the Power Point presentation. This was a list of commonly asked questions that management addressed up front, leading in to the Q&A session with the shareholders in attendance. It was prepared in advance, it is not a complete list of ALL of the questions that shareholders asked at the meeting. Also that list is basically just bullet points of their expanded answers they gave at the meeting.

ss's list covers most of the questions asked; I see one addition - the question was asked, following the question about the status with ScanBuy is what would be a "typical" license fee per year, for Qode - answer was in general, 5 - 10% of the company's annual revenue from crossing the bridge in their application, depending on the scope and field of use.

Also, a question was asked about Silicon Space - their work on the Word Registry is complete and it is deployed and up and running. No details were asked nor offered about how many words are registered, by whom, etc. They have not completed the Auction section yet. IMO the impression I got was the consumer launch is the priority, and the Word Registry - the Auction would be added at a later time. JMHO

To add to Chas' answer about discontinuing his selling in early June as it was "the right thing to do" he noted it was ended in week 8, it was a plan that covered 13 weeks, so he ended it 5 weeks early)

Possible analyst coverage later this year; perhaps 2Q or 4Q.

Sharebuy back question - it has been discussed. IMO time isn't right, but perhaps discussed as a possibility when the time is right. (ie cash flow positive)

hangdog will post about his proposal at the meeting when he is back home. He is still in Florida, returns home tonight. He said to me this morning, he *may* on his Treo, but may wait until he has access to his full keyboard when he gets home.

Question about stock options; add'l comment was that the #s have been decreased; the outside committee is Mr. Keil and Mr. Hayes.

I'm very pleased I attended the shareholders meeting. The new business units are most impressive, and I was glad to view their displays and information and see that the execs that are part of these units are highly professional, knowledgeable, and excited about being a part of NeoMedia. Great meeting, well presented and organized, and well-worth attending, very glad I did.

I'm just getting caught up after being home 3 days from the ASM and I'm only on post #78973 of 79503. That's 530 more posts which I have yet to read. You guys are killing me. Its worth the effort though, as I see the quality of our overall posts have gotten significantly better since the ASM.

ss9173, great post. Its was extremely concise and well thoughtout. I could not even come close to replicating it. Thanks for taking the time to put it together. I can tell you spent a considerable amount of time on it. I would like to possibly add a few points, with your approval, if I may do so.

Regarding the PP, the board shouldn't look for direct or specific favorable commentary regarding NeoMedia. Scott is a professional writer and performs his research on each company in the PWC theater with an unbias approach; this means both pro & con, to one degree or another. He leaves it up to his audience to make informed decisions about his articles; hence the comment section at the bottom of his blog.

IMHO, the PP is more of an asset to the general public's learning curve regarding this highly complex and newly involving technology than most would realize. The subsequent put-downs of him may seemed justified, but this is only by the narrow minded and/or misguided few. However most I-Hub members value his brilliance and keen inquisitive coverage of this space. He pushes the outside edge of the envelope and no one can compare to his professional contacts and/or his knowledge base regarding PWC's.

I too believe that the McDonald’s test pilot in Portugal will assuredly lead to greater expansion in other McDonald’s worldwide. My understanding of the test results thus far would indicate this initiative will go "wide open" once these results are finalized and the next part of NeoMedia's business plan is set into motion.

Regarding hard launch of Qode, they are officially launching MoBot's visual recognition technology involving at least 53 separate and distinct URL PW-connections with Elle Magazine this September, 2006, followed by Qode's apps in October thru December, supposedly all in time for the holiday season.

Additionally, the slide containing 3 circles involving brands, carriers and media companies are literally going to be a star studded cast of Hollywood style big name industry players. Qode will be launched over 280 different cell phone types across international operating platforms which include Symbian, Java 1.0 & 2.0, Palm/Microsoft 5.0 and BREW/OmniComm. This is simply huge! Look for Blackberry to be added to the list as well. NeoMedia is certainly working on including their platform in the Qode family. And this aspect of the presentation only dealt with consumer apps as opposed to enterprise apps, of which we've heard next to nothing about. However, IMHO I believe there is much activity happening in the enterprise arena as well.

Regarding CF's flipchart "How Big is The Opportunity" he did not go into KeyWord Registration or how much the charges will be for leasing them and the legnth of time available till renewal. Nor was anything said about an eBay styled auction of Keywords; something which will require further drill down.

Regarding M-Qube, with qode's robust indirect application which replaces 2 steps of the Ecosystem, I agree wholeheartedly. Qode replaces the network aggregator meaning VeriSign will now have to license with NeoMedia for NeoMedia's indirect architecture. This is a very interesting, distinct and real possibility.

Regarding ScanBuy, as I've said previously, my understanding of ScanBuy is that they can not launch their full swipe service here in the US or Europe because NeoMedia's patents block them from being able to do so. However, you can manually enter a code in their 'Search Window' in both regions. With that said, whether there was a closed door negotiation w/NeoMedia to allow them to get this far is still unknown. IMHO, I firmly believe they have hammered out a partial agreement specific to this aspect of their US launch. They are however, in full launch mode in Portugal Spain, where one can swipe a bar code and retrieve the designated URL as opposed to clicking on it. NeoMedia's patents may not prohibit deployment of their OS in Spain because NeoMedia's patents may not apply there.

Finally, regarding the level of outstanding shares increasing, it will not surpass a combined aggregate of between 1.3 and 1.4 billion, not including further acquisitions, which by the way, keep a close eye on Germany.

For being in another Quiet Period, I think we were all well pleased with the incredible amount of quality information they were able to provide. I am honored to be in on the ground floor of the Next Social Revolution with some very brilliant and wonderful people; both insiders and shareholders alike.
