Yes, S-3 is a shelf. They "may" sell up to $150M worth of shares with a breakdown of $50M to LPC at AVXL's discretion and the other $100M would be sold if they choose via an offering of stock to those interested in investing in the company.

It would be a scream if the 269,397 shares Lincoln Park is allowed to sell actually became worth $50,000,000. Those shares would then be worth $185 a piece.
