No way on earth this company should not have filed a SEC 8K for the Patent agreement. As well as file with the SEC letting them know that they intend to file in the future

IMO this sounds exactly like Gary K Kimmons time buying share selling excuses

ESCU should have already filed a SEC 8K for the name change back in June 2015.
