One big problem with your statement is the concept of illegally issued shares. Since when has it ever been illegal to issue shares to cover debt?
That isn't the problem. The problem is that the GIM note cannot have been issued in June 2010, because old Amarium Technologies shell had not yet been sold at that time.
And CRGP's dividend would have been a special whether the new stock had been issued or not.
