There are 3 facts from the filing:

1) Not a unanimous proposal (which is curious).

2) The money is not for a partnership

3) The downside risk is $125K.( No mention of insolvency or liquidity problems.)

Therefore, while I voted no, I consider it a deferral until there are more facts to the business case.

Pretty simple-but it doesn't matter because of the proxy firm used.
