Current IDWD shareholders have 45 million shares of HLS.

IDWD as a company controls a majority interest in HLS (according to IDWD PRS). This means they have to own significantly more than 45 million shares.

HLS people own the balance.

It's simple math bol. If IDWD owns let's say, 51% and current IDWD shareholders own 45 million, then what kind of ownership do HLS people have? None? lol I guess they paid 41.5 million dollars for nothing, huh?

Of course, we know there was never a 41.5 million dollar sale or anything like that, but I am just doing this as an academic exercise. Downs is a convicted stock fraud swindler and he is committing fraud here nearly everytime he issues a PR. He lies all the time.
