gamood- It is just an election. Only difference is(assuming it is the same in Canada as the US) is that usually the votes are actually tallied by a CPA firm. But before the results are put on the record, the BOD does know the results so it would not be a surprise of the vote is close and the old BOD is losing, that they suspend the meeting.
