No they didnt, as IBM never sold YIPI anything. Vivisimo sold a license agreement to YIPI in exchange for registered shares at the time, because YIPI was a fully reporting company. Once Rich got what he wanted, he de-registered the security, upon maturity date he didnt pay the Note and it defaulted to conversion of restricted shares.
There has been no consideration EVER given by IBM to Yippy and that is a FACT.
