hi dig,

one extra point. the threshold for materiality in the accounting industry and the SEC's idea of materiality for 8k purposes may be distinct.

also, i am not sure the disclosure in a 10q (accounting rules) absolves a company of the need to issue an 8k (SEC).

for myself, i don't think there was an SEC requirement to satisfy, as the original contract lapsed in the ordinary course of business.
