Bunk.
PTOI didn't "halt(ed) operations due to below freezing temperatures", they were forced to stop operating due to equipment failure. They didn't....or rather, they COULDN'T....hit the START button when the weather warmed and in the context of what was purportedly an ongoing operation that is absolutely a material event. It obviously should have been reported to shareholders and, equally importantly, made known to the public inasmuch as it included potential shareholders.

If there was ever a "do we or don't we" no-brainer filing decision this was it and he opted not to comply. He should be held liable for any damages caused by his decision by any shareholders who purchased shares during the period in which he chose not to make the inoperable condition of the plant public.

Subseqent filings show the processors still haven't been repaired...

The Company had to shut down its production late in the fourth quarter of 2013 due to severe cold weather that caused damage to condensers and other components of our processors. Management estimates that the repair of the processors will require the expenditure of between $175,000 and $200,000. As of November 14, 2014 we still lacked the working capital or access to bank credit to make these repairs. We are reviewing our financing options, including the sale of shares of our common stock or other securities, in order to allow us to obtain sufficient funds to make the required repairs and resume operation of our processors. Management currently anticipates that the processors will remain idle at least until the first quarter of 2015 . During the idle period, we significantly reduced our headcount by furloughing our operations personnel but retained a small team to perform general repairs and maintenance on the processors. Once the processors are repaired, we expect a small increase in our headcount in order to resume normal operations.

Whether Heddle's dishonest and deplorable actions arise to criminal conduct is a question for the Department of Justice. Whether it is another slimy and conniving move by this scam company is not even debatable.

Breaking all the processors and shutting down all production at the company is most assuredly a material event. Just weeks before on the conferenceless call they were touting increased production LOL

Only a sleazy penny stock con man would hide such an event from shareholders for six months. Not to mention PRing the fixing of the processors and then all subsequent filings say they are still busted and they have no money to fix them. LIE, CHEAT and STEAL is the JBII/PTOI norm. In the real world a CEO would be fired and sued for such dishonest sleazeball action.
