#13914 RE: protagonist12 #13913

After doing more research, here is my take on what happened. JW failed to file the N.C. annual report in 2010 and IENT was dissolved on August 13, 2010.
[Many of us owned shares in the dissolved IENT at that time.]

Not sure if IENT could get reinstatement, another company was formed, iEntertainmentNow LLC. was formed that could be merged into IENT. I would call this a backup plan.

iEntertainmentNow LLC was formed by Thomas Robertson. Now I found a Thomas Robertson who is a Dean at Wharton, the same school that JW attended. Perhaps he is an old friend of JW's.

Just coincendence that two companies are both named iEntertainment and both involve people connected to Wharton?

But IENT got reinstated after filing 5 reports. So the iEntertainmentNow LLC was allowed to die as it was not needed.

The Annual Report is due the fifteenth day of the fourth month following the fiscal year end date. For IENT that would be April 14, 2015. As of today's date, 4/23/2015, IENT has NOT filed the Annual Report for 2014. This is a very simple form and can be filed online. The fee is $20.

As seen below, JW filed the Annual Report for 2013 on May 14, 2014, late again!

On 5/29/2012, IENT filed to amend their Articles of Incorporation. This required a vote of IENT shareholder's on record Oct 10, 2011 as required by Chapter 55 of the North Carolina General Statues.

I don't know about the rest of you but I never received any notice of this meeting and I owned millions of shares.

The amendment changed the voting power of shareholders and a sixty-six and two thirds % of the voting power of all shares was required to adopt, amend, alter, change or repeal the Bylaws of the Corporation.

ARTICLE X of the Amendment states:

NOW WHY WOULD JW REMOVE IENT FROM THE N.C. Shareholders Protection Act??

I DID NOT FIND ANY ANNUAL REPORT FILED FOR IENT FOR 2011, the year iEntertainmentNow LLC was formed.
