According to the PR on Feb 9, 400 mill were issued to directors and officers, and are restricted for a year.

First of all, the 12 million has been issued "as of the date of the filing" - the date of the filing is March 3, 2015.


Second- the 400 million was for the restricted stock issued to management, see the PR from 2/9:

"On January 21, 2015 our Board of Directors authorized the issuance of 400,000,000 shares of New Generation Consumer Group common stock to officers, directors, and control persons in lieu of compensation and other obligations."
