You hit some key points that people here posting about "the BOD are out to screw us" seem to miss. Guys like O'Neill, known for turning companies w/ poor balance sheets around (see: Molson), don't just jump in to tarnish their sterling reputation to sheist a few million shares @ $.05 a pop.

Management at your average stinky pinky rarely have the shareholders' best interest at heart, but this is not your average OTC BOD. They've definitely made mistakes, but they are not the type to maliciously do something just to screw the shareholders. No insiders have sold, which says something.

People who were in just to trade are getting out, leaving those who have a long horizon view. I personally sold about 15% of my holdings in the low .18s and plan on sitting on my 150k shares @ .05 for at least 9 months to see what changes can be made in that time. Ex-CFO McCormick left us in rough shape but they're slowly digging themselves out. Those with a long time horizon have a fantastic value opportunity here.

Reminder: if A/S is approved, management will no longer need shareholder approval for any decisions going forward. Chew on that and place your bets.
