Why wouldn't people vote for the R/S and increase in A/S if management feels that it is best for the health of ECIG?
Management has a legal fiduciary duty to act in the best interest of the shareholders. So, their recommendation for the R/S and A/S increase is what they ultimately think is best for the PPS. This point is underscored by the fact that the BOD and management all have stellar backgrounds. They are not random people who created a shell-company in order to swindle shareholders. They have distinguished backgrounds with reputations to maintain in the industry.
If we vote no, aren't we strangling the company and preventing it from taking the steps it needs to take to clean up the balance sheet and invest for the future of the company? I understand that the dilution can temporarily hurt the share price, but if that dilution gets the company to put its best foot forward and position itself as best as it can in this burgeoning market, then why not?
