I too spoke with Phil today.
After the conversation and thinking about everything further, I strongly believe we should all Vote YES to the R/S and NO to the A/S increase and preferred shares.
If management is able to utilize to R/S to obtain healthier financing, clean up the toxic debt (without conversions), continue with their growth strategy, and substantially increase shareholder value along the way (as I strongly believe they will) - then at a later date, after they have gained our trust and made up for the mistakes of previous management, they can put up a preferred shares vote (if they still need them).
For now it is important to vote in the R/S and give management what they and we shareholders need.
