Michigan Plant Technologies LLC (the “MPT License Holder”) anticipates the receipt of a license by the
state of Michigan or an authorized municipality to grow medicinal marijuana in the state of Michigan, an
affiliate of the MPT license holder already being licensed to grow medicinal marijuana in the state of
Michigan and is currently growing medical marijuana, for the expansion of the affiliate’s current farming
operations into a vertically integrated project of growing cannabis and extracting active ingredients and
producing infused products and operating a dispensary, in accordance with two new bills which the MPT
License Holder believes will be approved by the Michigan Senate, having already been approved by the
Michigan House of Representatives. On October 13, 2014, the MPT License Holder and Gear Washington
entered a Suite of Services/Funding/Rental Agreement (the “MPT Agreement”), attached to the SCI Legal
Opinion (schedule B hereto), pursuant to which the MPT License Holder is obligated to make payments to
such Facilitators (the Share Recipients) as designated by Gear Washington (or to the further designees of
the Facilitators), and such Facilitators are obligated to make payments and/or provide facilities for the
construction of a Farm for the MPT License Holder’s growing of medicinal marijuana.
786521 B.C. LTD., dba World of Marihuana Productions Ltd. (the “WOM License Holder”) anticipates the
receipt of a further license to grow medicinal marijuana in Canada, already being licensed to grow medicinal
marijuana in Canada and is currently growing medical marijuana in Canada, for the expansion of the current
farming operations into a larger Farm which the MPT License Holder believes will be approved by Canada. On October 13, 2014, by and between 786521 B.C. LTD., Dba World of Marihuana Productions Ltd. (as
the “WOM License Holder”) and IDGlobal Corp, Whydah Communicaccion, Inc., Expanse and Capitol
entered a Suite of Services/Funding/Rental Agreement (the “WOM Agreement”), attached to the SCI Legal
Opinion, pursuant to which the WOM License Holder is obligated to make payments to IDGlobal, Whydah,
Expanse and Capitol and each such payee is obligated to make payments and/or provide facilities for the
construction of a Farm for the WOM License Holder’s growing of medicinal marijuana.
