I like the fact that they took shares. They will have additionnal incentive to get the sp to rise. The shares are restricted until Dec 31, 2015. And the book value of VGR media is 540 000$, we didn't pay cash or increase liability for it, so this is a net increase in assets and thus owner's equity. As of last q, our shareholder's equity was (534 000$) so this aquisition just barely pushes us to a positive oe. Add to that the reduction in debt and it puts us in good standing to get deceny financing.
