It's interesting that you gravitated to the benefit to the admin players from the transfer of the corporation, rather than the corporation (and shareholders) itself. The other relevant point made in the comparison is that mergers of DE companies and their assets is a "straighterforward" and faster process than in, say, other states with merger processes.
