No way. You're gonna have to back up statements like that, man. You're gonna have to quote the section and the specific filing that says the shares are unregistered and also send backing for why you're sure they wouldn't convert the unregistered shares to restricted. That's what everyone assumes would happen, so if you're sure it's not going to happen you ought to cite something to back it up.
