IMHO, the 3 year testing period is the main driver for this. There are the tax considerations as well, but they are on the back seat. Another important factor would be - the capital raised through the excercise - how would a deal be structured ?! PIK + cash + equity raise + additional debt...let's wait and see. We are almost there.
