I believe Gump or someone else mentioned that Canada has a new exchange called the CNQ which actually has the same 43-101 reporting and disclosure requirements as the TSX. These things help weed out used car salesman but there is still room for crooks.

Purchasing shares in so called private companies goes on all the time. No one can stop you selling shares in a private company as long as you meet the requirements of the securities commission and sell mostly to sophisticated investors. This goes on all the time for everything from building apartment buildings to drilling oil wells and in many cases the company then went on to list their shares on a public exchange.
