Wow that is pretty depressing for pphm shareholders. In the same year pphm mgmt enacted a RS in 2009 at $3.20 and now five years later we are at $1.64. What a differnce five years makes between two different companies with different mgmt.

I'm not buying into what seems like typical scare tactics to get people to sell shares, but, on the other hand, shorts have been able to gather inside information in the past for PPHM and for many other companies.

So, if the Proxy does contain a request for reverse stock split I am not concerned... in fact, I would see it as a tactical way for PPHM to get us past this $300mil MC. Because, by doing so, MANY II's that may have shown an interest in investing in have been prevented from doing so because they have PPS limits that many will not buy stocks below $3 to $5 PPS.

Also, another tactical advantage is, PPHM could show potential partners at the bargaining table that they have other ways of financing. Using ATM at $5 will build up equity fast. BP's also must realize, if that happens and ATM is used while big II's are buying in, the number of open shares could drastically increase rapidly.

And as EyeBuy showed, a Proxy requesting a Reverse Split does not mean it will ever be used! We must all consider PPHM's current financial circumstances and how close Sunrise is to Dawning as compared to where PPHM was before last split. If Proxy request does happen now, it happens with PPHM holding a Strong hand and shows BP's that PPHM could activate and run ATM to finance multiple trials themselves which would in the long run with Sunrise's success (perhaps with BTD or early look in)could turn PPHM into their own independent BP!

But, if Reverse Split does Appear in Proxy, I foresee many jumping ship... dropping PPS which will be selling shares into waiting hands. Then, PPS will Spike, imho. And those that bailed will regret it in short time. Personally, I still have never sold one share and I have no plans on doing so until several pending catalysts have come to light. By then, I expect the PPS to be trading at an all time high.

BTW, Do companies need to issue a Proxy for Forward Splits? Or can that be done whenever they see fit???

My point is, there is no reason that a company couldn't do a reverse split, shake out some retail, get II's to buy in, then do a forward split...

Also, the link below explains another unique scenario where a company can do a reverse/forward split and cash out smaller retail investors then restore number of shares to major holders with forward split. Hence, a unique way to shake out shares from small retail investors...

Last Year Xstelos Holdings, Inc. did a 2,000 to 1 reverse stock split cashing out small stock holders and then immediately after did a 1 to 2,000 forward split. This was approved with proxy because there were more votes with the larger investors then with small investors and the larger investors had no reason not to approve, so all the small investors were simply cashed out and shares were freed up to sell again!
