one more note: consider what the stock will do when CA and NY grant ZAP the ability to sell in their markets. these have got to be the areas of most intense demand for sub compact autos in north america. period. that is my downside protection from here!

As far as DC not selling Smart in U.S.: It's a moot point starting 2007. With the importation of ZAP's OBVIO line coming then. I e-mailed the CEO of ZAP ( pasted at the bottom of this message). In my e-mail I offered a suggestion that ZAP not put all it's eggs in one basket ,so-to-speak, with Smart. He 100% agreed with me and basically said they weren't. In terms of styling and performance the OBVIO line is 1000% better than the Smart cars!!!I see good things for ZAP in the future.

E-mail below. I initially contacted ZAP about the chairman of the board selling shares and to say I was pissed off would be an understatement!!!


This e-mail is in regards to Mr Gary Starr.

Just a few comments I would like to make really:

I'd like to commend Mr Starr on showing his confidence in ZAP by selling 24700 shares the first sign of strength in the stock price. Do you think he could of at least waited a little bit longer? I mean the stock price finally gets over a dollar and Mr Starr comes out of the woodwork the next day and starts selling shares. It really gives me a wonderful feeling investing over $178,000.00 in ZAP stock knowing the first sign of some stock strength the insiders are going to start selling .

According to our CEO (through PR's) things at ZAP are really starting to happen. Am I missing something here? Shouldn't insiders buy their stock if the company is doing so great? Again, I would like to commend Mr Ebbers....er...ah...I mean Mr Starr on his vote of confidence in ZAP. ....... Bravo

Thank you for your reply.It is frustrating when insiders start selling stock in their company when, it seems, momentum is starting to pick up. I think it sends a terrible message to Wall St and shareholders. I know Mr Starr has earned his shares and may do what he likes with them however I believe actions speak louder than words(or press releases).Like I said before, Mr Starr could of at least waited a week or two before he started selling. I also noticed that a secretary of the company exercised options for 75k. I wonder when that will be dumped?
I do believe in ZAP and also think electric/hybrid cars are the future, I've also been a conservationist my whole life. I whole heartedly believe that forward thinking companies are the key to the earths survival . I also like the direction that ZAP has taken over the past year and I commend you for your guidence in leading ZAP into the future. It was with that thinking that I decided to invest a substantial amount of my life savings in ZAP stock.
On another note I am very excited about the OBVIO line coming in 07. Is this still on track to happen as per your contract with OBVIO? Do you have any other prospects for importing/manufacturing different lines of vehicles? In my opinion ZAP should be concentrating on manufacturers other than Smart. If, or actually, WHEN DaimlerChrysler (it's just a matter of time) starts importing Smart Cars to the U.S. what then becomes of ZAP's business if 80% of revs are coming from the SmartCars?Why would anyone bother getting SmartCars from ZAP when Daimler could get it to dealers at a cheaper price? I also think SmartCar can't hold a candle to OBVIO in terms of styling.
I would like to thank you for your precious time and look forward to seeing big things from ZAP in the future. I know it is not feesible to prevent insiders from selling but it would be nice to know I invested in a company that breaks the stereo typical " Insiders always screw the shareholders" mantra.

I appreciate where you are coming from and I must say you are right on the money in every point you have made in your last email. Every one! The Obvio car is not only stylish but very advanced and affordable. I intend to put a lot of energy in the production of that car. You are 100% correct about the smart car too but there are some interesting possibilities with that car that I cannot share at this moment.

As far as Gary Starr selling his shares at this time I cannot agree with you more. This sends out a bad signal when the chairman starts selling at this juncture and he should know better. Its not like he needs the money.

It is letters like yours that assist me in the management of such matters. As far as the secretary exercising some of her employee stock options well at the moment she only makes a salary of I think 36k a year, she owns no stock .....and quite frankly she does need the money. There are many others that have worked long and hard that have recently done the same thing but it is very minor amounts and each and everyone of them have needed the money. I personally have never sold any of my stock nor do I plan too any time soon.

Mark I thank you for investing in the company and will always welcome your input. It does help. As always feel free to call me on any issue.
