ITEM 1 - MINUTES OF THE BOARD OF DIRECTORS MEETING OF JULY 24, 2014

A specially called meeting of the Company's Board of Directors was held at 9:00 am on Thursday, July 24, July 11, 2014 at the Company's principal headquarters in Springdale, AR. The following minutes cover the single agenda item which was discussed. As the financial commitment to this acquisition opportunity, and the likely revenues to be derived there from each constitute a material development for the Company, this acquisition requires both Board approval as well as disclosure through a Form 8 SEC Edgar filing disclosure (which will be filed separately).



1). BOARD REVIEW AND APPROVAL OF “ON ANY SUNDAY” VENTURE
Following meetings (and a screening) of the Redbull MediaHouse feature film, “On Any Sunday:: The Next Chapter” at the Cannes Film Festival and Marche du Filme in May, HHSE Managers had been working closely with the Redbull distribution team on a releasing plan for the USA market. The following terms were discussed and agreed upon by the HHSE Board of Directors, with the authorization made to proceed with execution of the distribution agreement.

FILM: “On Any Sunday: The Next Chapter” – An impressive remake of the 1971 Academy Award nominated feature, “On Any Sunday,” from director Bruce Brown. The new version is produced by Bruce Brown and directed by Dana Brown, and was shot in 4K format.

THEATRICAL RELEASE – Working in partnership with Regal Entertainment Group, HHSE will provide a nationwide theatrical release of the film on Oct. 31 or Nov. 7 (subject to Regal’s screen availabilities in key markets), which release will include at least 35 of the top 40 markets, and will open on up to 250 prints (HD / DCP / 4k format). HHSE shall earn fees for both the booking of the film as well as a sales fee percentage of collections. Redbull shall be responsible for advancing all of the required P&A costs per a budget and disbursement plan to be mutually approved.

RED CARPET PREMIERE & MEDIA EVENT – Working with Redbull, Regal and Falco PR, HHSE will help coordinate a major media “red-carpet premiere” event to be held Wednesday, Oct. 22 at the Dolby Theatre in Hollywood, CA.

USA HOME VIDEO – HHSE shall pay to Redbull an advance of $250,000 (to be provided by a third-party investor already secured for this venture), which shall be recoupable to HHSE from net revenues of the film’s home video release (i.e., HH fee, plus costs, balance is producer’s net, and shall be subject to the recoupment of the $250,000 advance). HHSE to retain the option of utilizing 20th Century Fox Home Entertainment, Inc. as the USA primary home video label, under a sub distribution provision in the agreement with Redbull. Proposed release date for home video (both in packaged goods formats as well as V.O.D. / EST / Digital) is Feb. 4, 2015. Cumulative revenue projections are $3.2-mm.

HHSE shall be co-branded with logo visibility on theatrical release prints, ads, posters, video packaging and video units of the film. A consumer website, including a trailer link and press articles on this film is available at:

Long before live sports coverage and countless reality shows saturated every corner of the television market, Bruce Brown's pioneering motorcycle racing documentary On Any Sunday blazed a trail across movie screens back in 1971. Brown, who had made his name with the equally stunning surfing doc The Endless Summer, captured a wonderful variety of motorcycle racers and fans, including actor Steve McQueen, competing fiercely (and treated like every other rider) at the height of his stardom. The film earned an Academy Award nomination for Best Documentary Feature.

Now, 43 years later, Brown's son Dana Brown has made a follow-up documentary, On Any Sunday: The Next Chapter. As might be expected, the younger Brown follows in his father's footsteps by focusing on racing, but he goes beyond that, capturing the excitement of athletes, innovators, celebrities, and visionaries around the world who have embraced motorcycle culture, a unique culture that has fostered closer family bonds among many participants.

Eric F. Parkinson (born December 15, 1958) is an American entertainment producer and distributor, and is CEO of Hannover House.

A former news photographer for NBC-Affiliate station KKRD in Wichita, Kansas, Parkinson moved to Los Angeles in 1983 and began working in the emerging home video industry at Continental Video, Inc. He won his first RIAA Platinum Sales Award the next year with his ABC-Sports co-production release of "The 1984 Summer Olympic Highlights" video, the first of 137 sales achievement awards to be earned over the next 25 years.

From 1985 to 1988, Parkinson was President of the specialty video production company, Twin Tower Enterprises, Inc. From 1989 to 1991, he was President of A.I.P. Home Video, Inc., before moving to Hemdale Film Corporation in March 1991 to become President of Hemdale Home Video, Inc. and Hemdale Communications, Inc., with partners John Daly and Derek Gibson. From 1996 to 2001, Parkinson was a partner in Plaza Entertainment, Inc. (with John Herklotz and later with Charles von Bernuth), and in January 2002, he took over sales, marketing and eventually the ownership of Truman Press, Inc., d/b/a "Hannover House" a respected, boutique book publishing company, and added a DVD products line.

In December, 2009, Parkinson and his operating partner at Hannover House, D. Frederick Shefte, entered into an agreement to merge with the publicly-traded Target Development Group, Inc., in order to create a financing structure to facilitate the company's move into higher-profile, theatrical level films and release activities. Hannover House also distributes a library of over 175 titles.

Parkinson has also produced or executive produced over forty feature films and television specials, and is currently at work on his film directing debut with ShadowVision a science-fiction thriller for release in 2012.

Parkinson attended the University of Kansas beginning in the Fall of 1977 and was a member of the varsity football team, while majoring in Film and Television. Eric is the brother of Mark Parkinson, the recent former Governor of Kansas.

Hemdale Film Corporation, known as Hemdale Communications after 1993, was an independent film production company and distributor founded in London in 1967 as the Hemdale Company by actor David Hemmings and his manager, John Daly. Hemdale was initially founded as a talent agency that helped launch the careers of such bands as Black Sabbath and Yes. However, after Hemmings left the company in 1971, Daly purchased the rest of the company and refocused Hemdale as a film studio. Originally a producer and distributor of British films, Hemdale relocated to Hollywood in 1980. Derek Gibson later joined the company.

Among its most well-known films are The Terminator, The Return of the Living Dead, Hoosiers, Salvador, River's Edge, Platoon, and The Last Emperor; the latter two were back-to-back recipients of the Academy Award for Best Picture. Despite these critical and commercial successes, Hemdale followed these films up with a series of box office bombs and the company eventually declared bankruptcy.

In 1991, Eric Parkinson joined Hemdale as president of the company, eventually shutting down its production facilities and duties, and started acquiring and distributing films independently produced by other people.

In 1995, Hemdale shut its doors, shortly after it was announced that Daly and Gibson would leave the company. The library was then incorporated into Consortium de Realisation, a French holding company set up to handle the rights to titles acquired by Credit Lyonnais Bank.

After the studio's closing, the Hemdale library was incorporated into the Orion Pictures output now owned by Metro-Goldwyn-Mayer, after MGM acquired the Consortium de Realisation library from PolyGram (ironically, Orion was the original distributor for many of Hemdale's films). One key exception is The Last Emperor, a Hemdale production originally issued by Columbia Pictures, but whose rights are now held by its producer, Jeremy Thomas. Most of the outside productions Hemdale distributed have subsequently returned to their original owners (such as Little Nemo: Adventures in Slumberland, which producer Tokyo Movie Shinsha now controls worldwide).

In 1991, Hemdale created a collection of many video cassette titles released by Hemdale Home Video, which was formed by Parkinson, around the United States of America. In 1995, the video rights to some of Hemdale's higher-profile titles were licensed to LIVE Entertainment (now Lionsgate).

The company's last new credit was for the Virgin Games video game adaptation of The Terminator, which showed up on the game's start up screen as "Hemdale's The Terminator" in text on the scrolling logo, despite all box art calling it "The Terminator"

Busy Q4 for HHSE includes Major Theatrical, Video and VODwiz Activities!

Greetings HHSE Friends & Shareholders. We have received some inquiries about our current THEATRICAL plans and strategy for the coming quarter and year.

As many of you know, Hannover House has not yet experienced any direct success with prior theatrical releases. Movies like RACING DREAMS and TURTLE: THE INCREDIBLE JOURNEY may have experienced a nice "bump" in their home video ancillary values after our theatrical release... but the movie TWELVE (with a P&A campaign of almost $2.5-mm!), was a major disaster that added painful debt to the balance sheet and operations. Accordingly, the company has been very hesitant to proceed with theatrical activities, unless a clear path for profitability was present. That said, HHSE is releasing FIVE films to theatres during Q4, each of which has a clear path to profitability from the theatrical exposure.

Here's a quick summary image of these five titles and the release plans as of this date. ON ANY SUNDAY: THE NEXT CHAPTER is a major releasing venture with Redbull Media House, which involves Redbull as financier of the theatrical releasing costs - a strategy that fits their branding goal for a wider theatrical release. BLACK-EYED DOG will have a limited opening (NY, LA and CHI) for awards qualification, before a modest expansion into additional top 40 markets. The foreign language films BORRAR DE LA MEMORIA, ASALTO AL CINE and THE WEATHER STATION have very limited theatrical plans - and very limited financial exposure - so the path to profitability is a short journey for those three specialty releases.

As HHSE moves into 2015 - we will be looking a major openings (over 1,000 theatres) for LEGEND OF BELLE STARR, SHADOW VISION and MOTHER GOOSE: JOURNEY TO UTOPIA all of which will have carefully structured theatrical release patterns tied-into the satisfaction of SVOD and CABLE TV presale agreements. HHSE will open "X" number of screens in "X" number of key markets because such a performance delivers ancillary revenues from SVOD and CABLE that justify the expenditure.

Q4 will also see the release of EIGHT (8) new titles to DVD and / or Blu-Ray... plus a major consumer outreach for VODwiz - which launches in August, and moves into consumer expansion mode through the next six months!
