I think cak goes down with the ship in this case. As a director he had a duty to the shareholders as well as the corporation to keep and eye on what was occurring within the company. He was put on notice of issues that were likely to occur through reputation of certain officers- AND HE CHOSE TO DO NOTHING EXCEPT COLLECT HIS CHECK!!
