The problem with that is that the merged company will always be tainted by this situation so although no one wants to hear it, the most likely way of fixing this is to sell the intellectual property to another shell and start with fresh beginning.
That's if there is any business to sell, if they were still in development stages and had lack of funds, this will have killed their business anyway.
