Next time you go into Boulder stop at the bookstore and pick up your legal advisor a copy of Taxes for Dummies. He's giving you bum advice FS.

NOL's are non-transferable. The only exception to that IRS rule is in situations involving two companies in an acquisition. FCNCA purchased UWBK's assets from the FDIC...there was no acquisition involved. NOL's come with heavy restrictions...the same is true for Colorado State tax statutes as well.

If UWBK's NOL's were that easy to transfer to be used by another company FCNCA would have taken those along with all the other assets they purchased 3 years ago back in 2011. That didn't happen...but it wasn't because of an oversight on FCNCA's part.
