Actually if I read it correctly, they are asking to increase the funding of the plan by 1.7M shares through 2016, not over 1 year. There is a $1M limit on individual awards.

The aspect of the plan as it stands that I take exception to is the exemption of discretionary awards from the $1M limit.

I think when you take risk and lead a startup company, in a startup industry, high compensation potential needs to be in place. For the employees, especially, they risk layoffs with every corn crop--yikes. And many of these guys live in California. I've lived there, housing prices are ridiculous, the only deals are in the desert.

Bottom line, too much good change is happening for an incentive plan to take down the ship. IMO
