#41140 RE: MiamiGent #41107

Thanks for the bash and appreciation; however, if you're going to bash me please keep all the comments within the same contents.... Note the iBox/Intro shows the same - so please divert from calling me "misleading" as I've been nothing but open book and trying to put thoughts into laymen terms.

Quoting a piece of my post is out of context is misleading....

And the ideology is that there are two school's of thought here. And with that said two schools of how one will value the PPS, capital, etc.

Some will focus on the O/S and others will solely focus on the O/S Float without the restrictions.

That was the message behind the post and ideology.
Thanks,

B!

Not only is the OS being misrepresented in the ibox,

there is no ideology when speaking of the O/S or the float- they are what they are. You can cite the restricted shares in the same breath you note the O/S but you cannot call what is the float the O/S without being wrong and misleading, albeit unintentionally. We cannot fashion our own lexicon here. There are established terms to describe things like share structure. There is no such thing as a truncated O/S or an abridged O/S- but there is a dictionary, lol.

but the whole BS about "Restricted Shares: 2,910,501,964 (Non-Trading up to 12-18 months)" is incorrect!

This is said "Restricted Shares: (APT shareholders: 2,735,501,964 and Mammoth Corporation: 175M)
Preferred Stock Issuance
# Preferred Stock shall be convertible after twelve (12) months
# Series C Preferred Stock shall be convertible after eighteen (18) months"
but it is not preferred shares that they got! They received COMMONS!!!

http://www.sec.gov/Archives/edgar/data/1486526/000135448814001465/froz_8k.htm

"In connection with the Share Exchange Agreement, the Company will issue 2,735,501,964 shares of restricted $0.00001 par value common stock to the shareholders of APT"
"The Company will issue 175,000,000 shares of restricted $0.00001 par value common stock to Mammoth"

The HOGWASH (as in prepping the piggies for SLAUGHER) is in full swing!!!

FROZ For the advise of anyone who may have followed me here, I sold my position today for a significant % loss but a small dollar loss as it was just a lotto play. I will not be reentering
I thought this might be a fairly straightforward case of a good company stepping into a shell.
It turns out to be pretty messy, including toxic financing.
There are way too many shares in the A/S as well as the O/S.
I believe a R/S is inevitable. Those usually turn out badly, with the PPS sinking to former levels.
An indication of an eventual R/S is the great number of shares given out to employees.
I doubt the company (APT) is profitable. If it were, debt may have been handled differently than the onslaught of dilution currently underway.
Further harming this play has been the conscious dissemination of false information on this board, such as with the O/S.
I withdraw my affirmation of the board guru.
If you are going to play it as I know a lot of folks enjoy these, I strongly suggest it be on a "lotto play" basis (limited shares).
After the financials are known, much better investing decisions can be made.
It should be said that I look at this with the eyes of a big board player. I realize as far as penny stocks go, this is more promising than most.
Inexperienced traders ("newbees") should know the odds of a penny stock company succeeding are bad, though sharpies do well trading but that is not you.
At best, this is going to be a long slough.
Good luck to all,
MG
