Yes you are correct. Share based compensation must be expensed at the price of the stock when it was issued.

They were pricing the stock at pennies when the stock was trading at much higher prices.

Risk their law licenses?? You got to be kidding!! They haven't even filed yet, just filled out the forms. If nothing comes of it they turn the page and move on. Lawyers put together litigation on fiction daily, hourly - it's inherent in the business. They're not risking anything, they're shooting at the moon.

Sorry for jumping in the middle of all this but where do the auditors stand in this whole mess. Shouldn't they have realized they were reporting wrong?
