Shares issued in private placements in Canada are always subject to 6 month restriction. I'm sure they'll be pushing hard in order to maximize returns before they become unrestricted. In terms of the other way, idk how they would sell shares they don't yet have, or why they would intentionally make it so they overpaid for $2m+ worth of stock...
