From my understanding of the material events that falls under 8-k requirements, DMC recommendations falls under other events category which will require 4days to file. The more I read about that Reg FD it seems to only apply if management made the mistake of accidentally or intentionally disclosing material info to select individuals so it shouldn't apply.
