The part about "the company may not be able to continue as a going concern" is standard language required by the SEC for a company that has not yet made a profit. You'll see it on a lot of SEC reports.
What concerns me more is that they are selling convertible debt, even as late as as this past week. If they need to raise money, why not simply sell shares in a public offering?
