Jack-I have heard a couple of things regarding the bids/auction. I have heard the number of bids, who the bidders area and what the current bids are.

Capsource was never offered shares of stock as payment of the fees. The O/S are not as much of an issue as has been feared. The preferred has been identified at 6,000 preferred A series.

The common are something south of 80MM and north of 46MM. The information I have puts the common around 57MM.

The biggest issue with the intervention in my opinion is if it requires a proxy contest to boot the BOD. This will cost a minimum of 2MM and as much as 6MM. JP's camp would expect to be reimbursed by the company after assuming control.

It just works better for everyone when the group accumulates/acquires a majority. Unfortunately it remains a bit of a catch 22. They can't get in to take a peak without taking control. They can't take control unless they have the majority. They can't be certain they have a majority unless they take a peak.

Speed-Remind me again what laws in Florida would require the BOD/company to open the books to the shareholders? Is there a specific % of shares you must have as an individula or group to get this option?
