The Biz doesn't really own anything. They have a land option and are utterly dependent on the control owners for financing. At most, the Biz might be entitled to a finders fee but that doesn't justify $18 million and 50% of all future profits.

DD is meaningless where a lack of transparency and a strong possibility of fraud are present.
