Yes, I did believe him. That was, after all, several weeks ago, when he hadn't decided whether to continue with the deal or not. If Pawson planned to give him any stock, perhaps it wasn't until after everything was finalized. That's when share issuances occur in reverse mergers: when they're consummated.

Pawson, however, has plenty of stock.
