My take, which certainly isn't gospel, is that the one company will have the cigarettes such as we are currently selling in Benelux and which we will sell worldwide for those who just enjoy smoking plus the super premium cigarettes and the "safe/light" cigarettes that have less nicotine than current cigs but would meet any govt requirement and are aimed at those who do not want to quit smoking but would like a safer cigarette such as when filtered cigarettes came along in the 50's. This market scheme would be to sell as many cigs as possible with no worry about trying to get users to stop using cigarettes or trying to curb their addiction to nicotine.

The other company would contain products only geared to weaning smokers off of cigarettes entirely thru either step down levels of nicotine, VLN/smoke patch, VLN/anti-smoking pill, or any other combo to get people to stop smoking.

You can see from the above scenarios that the two companies would be in distinct contradiction to one another and why they would be better off as two companies. Mgt then wouldn't look like they were trying to work both sides of the street and lose credibility.
